Khaao Vendor Terms

Khaao is a software tool that lets your independent kitchen publish a menu, take orders, and get paid online. Khaao is not a restaurant, food provider, courier, or the seller of your food. Every order placed through Khaao is a contract between you and your customer — not with Khaao. Khaao is not a party to that sale and does not take responsibility for it.

You are solely responsible for the safety of the food you prepare and sell — including safe handling, allergen disclosure, ingredient accuracy, and clear, accurate labeling. You will give customers accurate menu, pricing, allergen, and dietary information. Khaao never prepares, handles, inspects, or tests your food and makes no representation about it.

You are solely responsible for obtaining and keeping current every license, permit, registration, and inspection your food business needs under the laws that apply to you. You warrant that you hold them and that your kitchen is operated in compliance with them.

You are solely responsible for preparing orders, product quality, packaging, order accuracy, and for pickup or delivery — including any delivery you arrange yourself or through a third party. Khaao does not prepare, package, transport, or deliver any order.

Customer refunds, cancellations, complaints, payment disputes, and chargebacks are your responsibility, as the merchant. This mirrors your responsibility to Stripe as the connected account (see section 8). Khaao is not responsible for issuing refunds or for the outcome of any dispute or chargeback on your sales.

You are solely responsible for determining, collecting, reporting, and remitting any sales tax or other taxes that apply to your sales. Khaao is not a tax collector, agent, or adviser, and does not calculate or remit taxes on your behalf.

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Khaao and its owners, employees, and contractors from and against any third-party claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or connected to: your food, products, or services; your business or its operation; your use of Khaao; or your breach of these Terms — including, without limitation, any claim for personal injury, illness, or death arising from food you prepared or sold.

Payments for online orders are processed by Stripe through Stripe Connect. You are the merchant and the recipient of funds — money for your orders flows to your connected Stripe account. Khaao is not the payment processor and is not the merchant of record; Khaao does not collect, hold, or own your sales proceeds. Your use of payments is also governed by the Stripe Connected Account Agreement, which you accept directly with Stripe, and under which you are responsible for your transactions, disputes, refunds, claims, and any fines.

Khaao is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or secure, and we make no warranty about your kitchen’s operations, sales, or results. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, Khaao is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any matter relating to food, orders, payments, or delivery between you and your customers. Khaao’s total aggregate liability to you for any claim arising out of or relating to Khaao or these Terms is limited to the amount of fees you paid Khaao in the three (3) months before the event giving rise to the claim.

You agree not to misuse Khaao — including by using it for any unlawful purpose, posting unlawful or infringing content, misrepresenting your food or business, infringing anyone’s rights, or attempting to disrupt or gain unauthorized access to the platform.

You warrant that you will comply, on an ongoing basis, with all laws and regulations that apply to your business and your use of Khaao.

We may suspend or terminate your access if you breach these Terms or if we are required to by law. You may stop using Khaao at any time. On termination, your right to use the service ends; you remain responsible for orders and obligations that arose before termination. We will handle your data in line with our Privacy Policy.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.

We may update these Terms. When we do, we publish a new version with a new version identifier and effective date. For material changes, you must affirmatively accept the new version before you continue using Khaao — we will show you a re-acceptance prompt and record your acceptance. Continued use alone is not acceptance of a new version.
